Maybe not what you’re looking for but the Transformation of Wall Street is pretty good regarding the history of the regulations around securities. An attorney at the SEC recommended it to me a while back.

Am I crazy or does anyone else think GoSystems is the worst software they’ve ever used? My firm was unfortunately gobbled up by a larger firm this year and the transition to GoSystems has been horrific. Returns are a disaster and the staff are constantly having to call support because the software is incapable of calculating things correctly…. The answer from support is nearly always “you have to override it”. Might as well prepare the return in a fillable PDF.

Recruiter Outed Me to My Employer: I briefly chatted with recruiter about a position posted by the recruiting firm. Well my employer was searching for an addition to our team and the recruiter told my manager I spoke with their firm about a potential position. My manager told me about their conversation. I feel a bit of an energy shift from the entire team. I called the recruiter and gave them an earful and they said they will look into it. How should I handle this? I don’t want to lose my job.

I interviewed with Amazon for a corp counsel role. After the debrief, I was told the hiring manager would like me on the team but as an ACC, and I should hang tight for a few more days before they give me a decision. Today, I was informed the HM passed but is recommending me for another ACC role on a different team. I’m worried I’ll end up with no offer after initially thinking I was getting one. Has this happened to anyone else?

Considering an offer to go from firm (4 YOE) to become a privacy/product counsel for a tech company (non-faang). One concern for me is the potential of a recession in late 22 into 23 with the fed rate hikes. My fear is if that happens, me being on the chopping block as new in house counsel. If I stayed at the firm, I feel reasonably secure as an associate of not being laid off due to the market. How do in house counsel positions typically fare during lay off cycles? Any experiences to share?

Considering trying to make a pivot. Currently a prosecutor. I have a lot of trial experience and did some ID work. Are there any logical roles aside from just litigation to keep an eye on as for as in house? I’ve been thinking there must be some applicability to the investigation skills I’ve developed but I don’t know what the move should or would be. I am coming from a place of ignorance - not sure what would suit my background.

How far do you require depts be with negotiating commercial contract terms before your legal review? I’m talking routine low value and risk contracts (e.g., vendor services), where Legal terms won’t kill the deal. My clients blindly forward contracts. I say “are you sure this term is ok?” And often get “no.” They’re surprised because they never read them. Checking the temp to see what others experience, what might be normal. Has anyone gone from small real estate development company to big REIT? I’m being told that hours are the same (if not less) at the REIT, but I find it hard to believe. I might be over analyzing. I’m in the middle of interviewing with a big box retailer. The initial interview was with the in house recruiter and then with the Senior Associate and SVP all within the last week. They scheduled a “touch base” interview with the recruiter for this week. Is this a good or bad sign?
