That’s usually a loser unless you can point to an actual contract term that’s been breached. Breach of the covenant, by itself, is a weak claim IMHO.

In this scenario theres no written contract just a purchase agreement, no terms. Thats why the only COA i could find was the breach of kt based on breach of the covenants.
Your claim may be for quantum meruit or unjust enrichment.
