Applying for some in-house M&A jobs, and a big focus is being able to run deals. I of course feel very comfortable running deals from the corporate side and managing multiple teams, but have obviously always had an army of specialists in biglaw. How does this work in house? I’m primarily thinking from a tax perspective — I likely wouldn’t be able to structure a deal (and don’t think many of my peers could either) since we always rely on a tax team, but not sure if that is an expectation.

As a tax lawyer, I really hope in-house corporate lawyers aren’t structuring their deals…

Agree, A1. But I’m assuming companies that do M&A deals in-house also have in-house tax advisors.

We don’t have in-house tax lawyers, but we do have a team of tax accountants that work with outside counsel on structuring issues. We end up liaising with the tax department. their outside tax counsel, and our external tax consultants (Deloitte) on deals where meaningful tax issues are implicated.

Absent that in-house expertise, as a real estate lawyer and not a tax lawyer, I’d hire outside counsel directly. I’m not qualified to resolve tax issues.

In my experience, small deals are a free for all and all on you. You can get help from finance folks, etc. but you’re on your own otherwise. They should have forms they use. Larger deals will usually have outside counsel assistance.

US immigration question. Green card interview date was cancelled in March 2020. It’s been a whole year of just waiting for a reschedule date, so the I-485 is transferable (e.g. to another state, another employer). Has anyone transferred their i-485 to another employer? Round or exact numbers on banners/LPs? I was curious about this since in negotiations for example or pricing it's better to have the exact number. I am interviewing for a new IT Manager position. I started putting out soft feelers and then hit the hunt harder. The problem: I have one offer and need to give an answer by next Wednesday. I have two other opportunities that are in final steps but probably won’t have offers by next Wednesday. Both of the other offers will be higher pay but clearly are uncertain for offers.
