I would recommend sun tzu’s the art of war. Learn to aggressively redline any provision that confuses you. Mutual indemnity? Redline - change to one way. Reasonable damage cap? Redline - uncapped. Insert as many condescending remarks as possible to really flex your worth. Then and only then will you have absolute victory.

You forgot one of the most important ones: edits for clarity. Don’t change the substance at all, just reword as many sentences as you can (reverse word order, change verb tenses, replace “will” with “shall”) and leave “edited for clarity” comments on each one.

Has anyone recently made the switch to in house and now feel unorganized and less productive than when billing hours? I’d like to leave my current company soon (complicated). I interviewed with several companies but no offers materialized (someone had more relevant experience or better fit than I). now running out of roles to apply to. There are a few companies I would have not even considered applying to initially (no industry knowledge, too far to commute, not financially stable) but now feel like I can’t be too picky. No poach agreements (i.e., we agree not to solicit each other’s employees) in customer contracts are a no-no for antitrust reasons, right? A customer is pretty adamant that they want it in but I feel like this is black and white. Would love to know if any of you are seeing them in your customer contracts and whether you’re including “unless prohibited by law” type of language to CYA.
