Can a TX law firm be formed as an LLC under another state and operate within TX with practically no ties to the other state? Or does the firm need be formed as a TX PLLC?

Most likely will have to file a foreign qualification with Texas.

Yea it makes more sense to register your LLC in the state you are operating in. However, many people decide to register in Delaware (which doesn’t make sense for most LLCs). The benefits of registering in DE are mostly felt by “corporations” because of the established favorable body of law.

Even so, if you are registered in Delaware then Delaware is your home state. Therefore, in order to operate in another state, you need to look at the state statue to determine if you are required to file a foreign qualification.

The downside here is that you will have to pay annual fees for both states. So it makes more sense to just register in Texas

Not my legal advice but plenty of companies do this in Delaware every single day.

Yes but that wasn’t the question 😂

What is the reason for wanting to do this?

Ask jones day

Jones Day is a general partnership (not even an LLP). Would not call them out as the benchmark in law firm corporate organization.

Pretty obvious but has anyone else thought about the impact on effective comp that comes with the lack of travel, and the consequences for talent management? Banks are jacking base salaries to the moon, but our industry is barely budging.

Consider the loss of food expensing that had netted us hundreds of dollars per week. The lack of payment in lieu of travel on weekends. The rewards points/miles we’re not accruing. The tax-free nature of all of it. Is it any surprise we're hurting for talent?

I’m in a growth marketing position, handling mostly influencer marketing, for a startup and this is my first year working full-time. I’m living in the Bay Area (with my parents bc I just finished undergrad) and my base salary is $66,000. I was told when I was hired that that’s a pretty good salary, but I’m not entirely sure. A front desk coordinator at my dad’s private practice gets paid more than me… is $66k good for my position?

How do my fellow litigators deal with hearings that don’t go so well? It seems partners are much more flexible with associates who have kids than with those who don’t. If it’s okay for my colleague with a kid to leave at 5 pm and log on later, why isn’t that the same for me (no kids)? My obligations might be different, but I still have a life and want to be able to do certain things, like catch that evening workout class or cook dinner for my partner. As you can probably tell, my firm is operating 100% in person. There is no point here — I’m just whining.
