Can APIC go negative on distributions in excess of contributions to a corporation? This is part of a liquidation of a successful corporation. Or should we reduce retained earnings?

Stock basis, which APIC is part of, can’t go negative. It can only be worthless.

Are you liquidating the Corp through 332 or what?

331. The shareholder has picked up applicable gains for distributions received. Final return would be 2022 but part of liquidation happened in 2021. This is solely for balance sheet presentation

Okay, so the point of the liquidation would be to distribute assets to the shareholder(s) and in the process, close out all equity accounts. I would expect your JE to be based on you saying the capital account in question is APIC:

DR APIC for X
DR R/E for Y-X
CR Distribution for Y

If there are other capital accounts such as C/S or P/S, I would expect them to be hit before R/E.

*Advice* I recently accepted position at a 50K pay cut (covid). I shared my target salary /lateral move & at the negotiation point, they came up slightly by way of qtrly bonus structure but also outlined path for growth incl. expected salary increases at said points. Said it could be achieved in under a year. By day 4 of the new job they had accelerated to the final point in that plan without making good on title / salary. I need some insight on my salary. I've been working at a large insurance brokerage for 14 years now and am a Senior Account Manager. I service a book of around $1.5M and am doing all the data entry side of the job plus client facing service without much, if any assistance. My current annual salary is $78,500. Im in niche practice area at Big4 (2 YOE)x of which law firms have the practice group. I’m in my late 20s, no kids, not married, significant student debt. The WLB I’ve had is fantastic, and most of my friends are miserable in BigLaw. But obviously the money coming with a lateral opportunity is staring at me, and given my student debt and no family of my own, perhaps it’s worth. Among the money move and grinding out and coming back to Big4 at higher level later? Any insight is appreciated. TIA!

Until we move away from the billable hours model, there will not be true work life balance when free time is preferred. As you gain experience and knowledge within our field we are too knowledgeable to be equating our value to time spent discussing or doing. There is an inherent conflict from leaders that want to maximize revenue which means maximize billable hours and staff that minimize hours.

How does a person stay in this field and maintain a balanced/healthy life? Or is it even possible? I’m an average guy..average energy, average smarts, average interest in tax, but compared to peers, I’m great with people. I feel like this mix leaves me chronically burnt out in this field.
