Do you have any words of wisdom when negotiating stock compensation with a Series A startup? My first time, and want to make sure I get it right!

Negotiate in 3 stages and don’t talk about all 3 at once:
• Base salary: since this is a startup, base salary is important to be high to make up for no publicly traded RSUs
• Equity: After you’re done talking about base salary, ask about what options you have for equity.
- Sometimes you’re allocated “stocks” but are asked to buy at a lower price/unit. This is good if you know it’ll go public. But, to senior software engineer 1’s point take it with a grain of salt. Unless you really believe in the startup and know that the founders will be successful, be very hesitant to pay for the equity. My husband’s startup was promising and a lot of his coworkers bought some equity but lost it all when the R&D work was sold to another company (not even an acquisition mind you)
- If they give you free equity, take it and see if you can negotiate but since you can’t really cash it, doesn’t make much of a difference
• Sign on bonus: ask for this in the end if you have some leverage from your previous position. In my case I asked for a sign on bonus because I was losing out on my performance bonus from the previous company I was at
