Never ever trust a company on verbal promises.

Agree w all the above. Equity is on everyone's mind at these companies so it's not unusual to request / demand they be in writing. Additionally, make sure she knows what happens in any type of liquidity event (bankruptcy, ipo, acquisition, etc).

Typically companies will provide the number of shares offered, vesting schedule, and how to value the options given multiple IPO scenarios so she understands their implied value. Should all be in writing.

Yeah definitely as part of her employment contract/offer letter.

Also definitely consult a tax lawyer - some early stage startups' equity offers actually screw you, and if they were to fail, she could OWE money 😬

Get it in writing with the offer before accepting. Ask for it to be included as a part of the offer letter. Be careful she reviews and understands any contingencies esp. vesting schedule. I had a startup try to offer me options on a 4 year vesting schedule which means if I'd left before then I wouldn't be able to recoup the value. This was ~50% of the offer so if she isn't positive she's going to stay for awhile might want to think on it.

If it's not in writing it doesn't exist. A great example I recently learned of was McDonalds. The founders got screwed out of 1% annually which equated to millions of dollars because they had a "handshake deal"

Yeah I think she should get it in writing but I noticed it wasn't written up in the actual offer, so was wondering if it should be in offer or separate document?

Yeah she's got everything but vesting schedule, I just want her to push to get that in the contract vs just an email.
