I haven’t paid a dollar to vendor in 10-years in-house. I see people mentioning practical law. My two cents is that practical law is trash, and those that like it are stuck in a groupthink mindset.

Practical Law is basically just a bunch of recycled big law firms, with little to no guarantee that the forms were good in the first place. I’ll concede that lawyers are very familiar with these forms, but it doesn’t make them good.

My advice: write your own clauses in plain English. The business folks will love it.

I use it when I don’t want to pay an outside law firm just to get one of their forms, or I need to get a high level understanding of an area of law and don’t want to pay an outside law firm to educate me. It’s a great starting point for doing your own drafting or honing in on exact language to crib from edgar filings or other online resources.

I love lexology.

I have been offered a position in-house at a $500M-$1B company, mid-sized city LCOL, 10 YOE in private practice. They offered me $120k, w opp for undefined discretionary bonus. No paid parental leave or 401(k) match & only 1 week PTO in first year (but claim they have discretion for more). Is there any way to salvage this? Salary guides suggest TC should be around $200-215k. I want to get my foot in the door but this seems crazy low.

When is it time at a struggling company to seek a new role? I’ve only been in my role ~ 1yr. It’s great for prof growth bc I’m on a small legal team in a global co and involved in a wide breadth of matters. High QOL and I like the people.

However, we’ve undergone RIFs (not my region yet). Stock price has taken a hit (above mkt).

Ideally I’d stay at least another year. Ok with some degree of risk bc I’m not the sole breadwinner in my family.
