Have you ever seen a deal die because you forgot to note the attached is being circulated to your client simultaneously and as such, remains subject to their ongoing review and comment in all respects?

Not die but the other side said really fast “WE ACCEPT ALL THE TERMS” and signed it and then when our own client had an edit they wouldn’t let them edit it and so our client had to pay an extra 30 billion dollars. Watch out out there.

I love that language actually, pure CYA.

like

Lol fair point. I just always feel like this phrase is lvl 80 CYA

like

Nope - but i have seen the other side try to claim that we were retrading because of it.

99% of the law is cya, but almost no one can tell you why it’s included. It’s just the way things are done.

A2, that sounds odd. That would have been the biggest malpractice case in history if true, especially since $30 billion, by itself, would be one of the larger transactions ever.

like

Please update defined terms to include Joke, thx

like

A lot of the boilerplate CYA is annoying, but this may be one of the more helpful ways of indicating the interim status of the product. To take the opposite extreme, if you just attach an LOI to an email without any text it might well be reasonable to assume it's an offer.

like

“Draft” tell you nothing about it’s status with your client - “draft” just tells you that it’s not an execution version yet…

I’ve been in-house for about 5 years now and the burnout is real.

Most of my burnout is attributed to high levels of anxiety/lack of psychological safety. Over the years I’ve encountered multiple instances of finger-pointing and backstabbing eg. escalation to front-office SVP casting blame to Legal for something gone wrong when in fact it was 80% due to their own lack of attention to detail/project mgmt skills.

Is this normal and how does one deal with it? How do I do office politics better?

Need suggestions:

Im holding two offers, kindly let me know which one of the two is better in terms of company culture and hikes.

Ps: reviewed in glassdoor/indeed. Reviews seem to be fake. Since there are professionals who are currently working would provide a good insight. Also, i am aware WLB is bad in both, but can’t help. 😅

A friend is considering deferring an offer (stem PhD) for 1 year straight out of undergrad to work in NY, either in a research institution or a biotech. She does not have any real work experience outside of her lab (3 years) and an adjacent internship. Another factor is she is just generally feeling burnt out on school after the last few years.
To what extent did you find that a year or two of work impacts prospects coming out of PhD? How might a year off from school impact her PhD work itself?

Hi everyone - I’m in a non-UBE bar exam state, but would like to waive into another state (the only one I can do this with before 5 years of practice). The state I would like to waive into is where I grew up. My firm doesn’t have an office in the other state though…is there an argument to be made for them helping out with the fees nonetheless? Or is that wishful thinking? I only have a few months to waive into this state or else I have to wait multiple years. Thank you!!!
