The RSUs aren’t terrible then. 5 years is a little long but that’s still an early company. Do you know if they offer annual grants after the initial stock award?
By two rounds, do you mean Series A or B? And what’s the rest of the current offer (base and bonus)?
I believe series A. They offered me 70k BP and 100k RSU over 5 year. They undercut my salary by a lot. Going to go back to them with 130k, but trying yo gauge how much RSU I should ask for.
The Rsus will probably work out to 60 or 80 a year if your lucky and they b/c ipo. In general it's low though for the market and this serial entrepreneur doesn't seem to interested in bringing employees along for the ride
5 years sound longer than average. Most offers now are 3-4 years fully vested. Amazon offers 2 years but comes at a steep personal life price.
That sounds weird.
RSUs sounds like they have stock that can be sold. Which would be a public company and not a startup. They may also give RSUs if they are in the process of going public.
Are you sure they are not options?
If they are options then most companies target a share price > $20. So if shares are currently $5 you could be looking at 3x (which is sale - strike). It could also be a big fat zero.
To me for a startup RSUs sounds like all the same risk but very little upside.
Ask yourself : do I love it so much I only want to be paid 70k?

I have never seen 5 year vesting in all the jobs I have had or all offers I have had. That's my first red flag.
I have never seen RSUs unless IPO horizon < 1yr. That's my second red flag.
But, it's about the number of shares you would get for those $100k. It's still funny paper money until IPO / post lock-up. Usually companies target share price > $20 at exit.
I'm not saying it's not going to work out, just that you should be okay with only the base pay.
