Hey everyone! New to the platform. I’m in house counsel at an aerospace/AI company in CA & looking for some comprehensive, practical commercial contracts training. I’ve found a couple of useful books, but wondering if anyone in a similar position knows of any online or in person courses worthwhile. I’m one year out of law school, and a challenge of in house for me so far has been the lack of sustained and focused training in certain areas, though I know there’s no substitute for hands-on work.

Commercial contracts are pretty straightforward, and for that reason people often overthink what’s necessary. Just focus on the goal of the business and ensure the language captures it.

If you’re dealing with AI or other related IP, that can get a little complicated. I’d work to get a good understanding of how the tech works at a high level (e.g., what types of AI is it, who owns the models, output data, where does the input data come from, what is the input data) to ensure the drafting captures what you need it to in areas like warranties, indemnities, and so on.

Good point, thanks for the response. Improving my understanding of AI/related IP will definitely help me structure higher value contracts. I’m finding that’s especially the case with software/saas so far, too

I was getting out of the military, had no directly transferable work skills, and needed to make a living in an expensive city (San Diego). Started looking at my options and found that I could do menial labor for just above minimum wage OR I could learn to get people to buy things and make this wonderful thing called commission! Took a job in insurance sales and the rest is history! Been in sales for about 15 years now ❤️

Has anyone been through a missed miscarriage and got normal chromosome testing results back? Found out today that we were expecting a normal male embryo ☹️. I’m just at a complete loss. Has anyone had extended periods of unemployment and can speak to ways in which to stay confident? Worked for an ent. company that let go a large number of employees back in July due to Covid. Thoughts on when a contract is silent as to whether liability is uncapped? We typically cap liability at contract price, but this particular heavyweight co. wants TCs accepted as is. Their terms disclaim consequential damages but there’s no language at all about whether it’s capped or uncapped. If a K is silent as to this, is it implied that both parties have agreed to uncapped? Or does it go to reasonableness standard?
