Hi all- looking for some good advice. I am currently trying to secure a job for September. I’ve always wanted to go corporate (eventually transactional work although I am open to litigation). However, I do not have corporate experience. The only internship that would have gave me the same was cancelled in summer 2020 (Covid). I am willing to put in the work to succeed in the field. Just struggling trying to find a firm to give me a chance going from a family to business. Any thoughts?

Hi. Trying to understand what you mean when you say “corporate”. Transactional work, by it’s nature is considered “corporate”, but I wouldn’t consider litigation to be “corporate”. Can you give some more detail about what you are looking to do?

It’s hard to understand COVID-19 rates of infection where I’m at or was, and the contracts was not inline with corporate ideals at least not in the IT sector. Their ideals was radical and the spread of harmful information on past events to prevent ethnicities to get vaccinated was alarming. It has highest infection rate in private sector. Don’t know death rates was strictly remote and put on non-sanctioned project NDA wasn’t signed and never knew until it came down the grapevine.

Any suggestions on networking in the private finance sector?
I recently transitioned from public to private sector finance to be more well-rounded and I’m having a hard time connecting with people in the space. I work for a fund admin in the digital asset space for HF & PE/VC firms and I noticed how much “bro culture” seems to impact the industry. Networking is hard enough working from home but I know how important it is to make those connections.

I have 65k miles and I could only pay for a one-way ticket from PHX-JFK. I had to book 1 leg with miles and the 1 with cash, but booking the other leg in cash was about 80% of the round trip in cash.

My mom has 12k miles that expire soon, transferring them would cost me $450. I can pay for a round trip with that cash but I can only pay for a trip to my kitchen with those 12k miles.

So I have this really strange satiation. I was asked to review a service agreement, and some attachments, governing website design and hosting client is buying. Literally 25 pages of the most ambiguous, inconsistent, supplier friendly thing I have ever read. Supplier insists using its documents (starting from scratch would have been Faster). The total deal is only $5,000 (which is an insanely good deal) but the time to fix these documents is going to exceed that. How would you deal with this?

Lien search help. I work at a regional firm, and only one paralegal is available. This paralegal started yesterday …. I essentially have to coordinate with the lien search rep to order lien searches. When an entity is incorporated in DE but the PPB is in a different state, what searches need to be conducted and where? Would we need bankruptcy and federal judgments and lawsuits in DE?

Can a JV agreement be used if the ultimate JV is one of the two JV partners? A + B = B (with A owning a portion of B and B contributing daily management etc)? Not sure how to draft that from a form agreement.

I’ve recently been staffed on a deal with a partner (& one of the dept. chairs), a 1st year associate & summer associate (I’m class of 2018). I’m being given the opportunity to draft the main transaction documents, run diligence & for all intents and purposes serve as the senior associate. Curious to know people’s planning systems. I’m a paper planner at heart, but in this practice, there’s so many tasks and sub tasks for each client matter and each task may be in various points of completion (to do, waiting on, in process, etc.). I’ve toyed with excel sheets, word docs, paper planning, Trello, Notion, etc. and nothing seems to ‘stick.’ Thank you!
