I currently do mid-level middle-market private equity m&a and general corporate governance work. Any advice on what/how to broaden my experience/skill set to make me more attractive for in-house positions?

Expand your corporate governance work. As you're probably already aware m&a in house is mostly useful for serial acquirers.

Ideally you would develop skills that address problems that companies face on a day to day basis. Corporate governance is one of those areas. Network with the specialists on your deals and see if they are doing things that you could also expand into like technology transactions. Any sort of compliance activity would be a great area to expand into.

Not sure I can add too much here (not my area) but in addition to the post above, experience with (especially defending against) activist investors is big, especially if it is a large company. We've had our in-house M&A counsel brief us (the whole global legal department of over 80 attorneys) monthly for the last few months.

How many years of post -bar experience do you have? It’s always hard to get in-house, easy once you’re in to stay. The best time to apply is 2 years of post bar experience to associate counsel roles, or network referrals. Once you get in as associate counsel it’s not hard to move up.

I got in by going to law school at night and working in a non-JD legal position by day. As soon as I passed the bar, a lot of doors opened in house.

I suggest doing one pro bono project each quarter with a service that helps not for profits. Pro Bono Partnership is a great place for assignments.

Just started working at a new firm and while I’m happy for the opportunity and I know I’ll get more sophisticated work than at my former firm…I haven’t been given anything and it’s starting to be boring coming to work(whether in person or at home) daily knowing that all I have to look forward to is going home. I hate that law clerks are receiving work when I’m not. AND YES I’VE REQUESTED.

Does anyone have recommendations for classes or trainings that helped you gain greater expertise in reviewing and negotiating commercial contracts, particularly sophisticated SaaS agreements? Would love some recommendations so that I can brush up in these areas and feel less like an imposter.
