Does it have a terrible rep? I’ve been doing it over 10 years and I love it. Never the same deal twice. Always new and different. Fast paced. High profile.

M&A can be quite fun, though I'm not a pure play M&A lawyer.. Definitely a hard practice if an M&A specialist because the feast or famine nature of it makes it demanding, but unlike corporate finance, each M&A file is different and requires a bespoke approach. I've always loved that during an acquisition, even more so than an IPO, a company is fully laid bare and you can find out exactly what makes the business tick. Companies work really hard to protect their secret sauce, but when it comes to a M&A transaction, everything is revealed. I mean, that's pretty awesome. I also find the negotiations fun even if intense. Gives me a chance to flex the mind outside of purely legal/regulatory considerations...really have to understand the other side and your client to properly advise on the deal. There's also the difference between buy-side (PE, large-cap work) and sell-side (EmCo) work, which changes everything on the deal--client input, client expectations, leverage, etc.

I love it because of the adrenaline and the team “in the trenches” aspect. It’s like sports kind of. Sometimes it feels like a soap opera.

I don’t think it is horrible. Pros = high-value, important, clients pay their bills, adversarial but both sides “win,” and can be intense but you get a break between deals.

If you love learning, I think learning negotiations could be very fun as a litigator. It’s not about single side how to win the game, it’s about how to use your persuasion to your benefit but make sure the deal can still happen (therefore know their bottom line). I think there are a lot of nuances to explore and learn (I’m also new to the field and I’m not in pure M&A, but very similar and need to team up with M&A all the time)

I happen to like a lot about M&A. For me the most fun part is when you step into a deal knowing nothing about the target company’s business and their issues, but slowly information begins to trickle in from various sources (DD, management, client, auditors, technical DD, local counsel etc) and you get this bird’s eye view that you can feed into an acquisition agreement, and you can suddenly make judgment calls about what’s likely important for your client and what’s not. It’s kind of like assembling a puzzle, pretty satisfying:)

Yes! I had already thought about my own answers, but these are so much better - I am genuinely excited for the role! Fingers crossed.

It’s fun, fast-paced and interesting. The clients are often high-profile and impressive people and you get to learn in-depth about a lot of different industries. M&A helps you become a good problem solver and you have more client FaceTime than most other practice groups.

Our group had 3 seniors leave during busy season and I know of 2 more that plan on leaving this summer. I also started interviewing but can’t help but feel an overwhelming sense of guilt for leaving our staff/new seniors knowing next busy season will be absolutely brutal for them all. First time I interviewed at my current firm I didn't make it past my second round due to a bad review from an interviewer. Applied again a year later and got hired. In between that year, the interviewer who wrote me a bad review got fired due to poor performance. Moral of the story, it sucks that one person can mess up your job search so badly but don't give up! Often times it's not you, it's them!

I had an interview at Spotify but didn’t make it to the final round. Just out of curiosity do they blacklist applicants that interviewed but didn’t make the final cut? I completely bombed the second round interview because I was nervous and none of the questions that were asked were the one’s I prepped and studied for. Spotify is my dream company and want to try applying again in the future.

My manager doesn’t seem to have any boundaries - always saying yes to additional unnecessary work from the client and always working through weekends/nights/PTO/holidays. They are supportive of encouraging everyone else to have a WLB but since they don’t lead by example it ends up making me feel like I’m doing something wrong or crossing a line whenever I set a boundary with them or push back on a request that doesn’t align with our goals or priorities

Tips on negotiating an offer? It’s much lower than what I want (would like to ask for at least matching my current base salary) + no signing or relocation bonus, which I would like Do I just ask for each thing I want individually? Never done this before!

KPMG folks. I see the mobile expense reimbursement is $65 with an equipment. Is there a breakout between wireless service and equipment or it’s looked at in total? If I’m on a family plan and pay $20, can I get a phone that costs $45 so as to maximize the $65 reimbursement? Thoughts appreciated
