Ok OP. I’m a big 4 partner, but not at PwC so there may be some differences from what I lay out, but it’s probably very close.
When a partner is first admitted into the partnership, they’re allocated a certain number of shares or units in their firm. The number of shares owned is equivalent to their share of the firm’s profits. This is the basis for how partners are compensated. The shares don’t come for free, the partner needs to purchase them. My experience has been that the strike price is about 75% of one year’s expected value of the share.
Most Senior Managers / Directors don’t have several hundred thousand dollars of liquid capital sitting around, so many finance the purchase of their shares. This Is typically done with a low interest loan via banking relationships with the firm. In addition to a claim on the % of firm profits, the shares also provide a moderate ROI in invested capital. This ROI when compared to the loan APR typically creates a scenario of a total negative interest rate. So when you hear things like partners can finance at 0 or -1%, this is what they’re talking about. From time to time I see bad information that partners are getting home mortgages or such at extremely low rates - that’s not true.
Partners are periodically evaluated based on performance, typically annually, just like everyone else in the firm. Based on performance, they’re allocated additional shares. Then repeat the process above and next year they take a larger % of firm profits so their compensation should go up.
In years where the firm performs poorly, partners may see their compensation drop if profits are less than anticipated.
