I’m a mid level. Something that has baffled me and been on my min for a while: have you noticed that some partners/counsel/seniors don’t know the most basic part of a transaction? Like the basic rules for the most regular filings. I don’t mind looking up the rules and giving them the answers but what is mildly infuriating is sometimes if I’m a bit rusty or don’t know about a more obscure rule, they make me feel like I’m inexperienced or be like how can you not know this, when in fact they ask me

As long as the same rule applies when I don’t remember shit.

Random basic stuff all the time and yet they have been doing this far longer than me. Am I being gaslighted? Should I feel less impostor syndrome because even these veterans are clueless and yet they are where they are?

I’m in litigation and know the rules and procedures, but I also ask the juniors/first years to look up/confirm deadlines etc. as part of their training, and because a double check is good practice in the event something has changed and I missed it.

YES!!!! I won’t remember something super specific or say I need to look it up and my boss will say “we really need to get on top of this.”

SIR IM KEEPING YOUR PRACTICE AFLOAT, please take several seats !!!

Sometimes I forget. Grateful that you remember :)

Just read about Salesforce takeover of Slack for $27.7bn (54% premium and 26x sales NTM), and the subsequent reaction of Salesforce stock -10%

Salesforce is trying to compete with Microsoft, which offers teams bundled with O365 for free, however, the PF rev is only 40% of the MSFT commercial cloud business

The price seems exaggerated, but given the massive potential synergies + impressive unit economics of slack, why has the market reacted so poorly?

Was it a bold move from Salesforce?

When we’re all comparing/complaining about hours at the end of the year are we including pro bono hours in that total? I’m nearing 2050 billables for the year but I have another 500 pro bono hours that should be added on. At the same time, I keep hearing about all these people straight billing 2,400+. Trying to determine if I should’ve tried to pick up more billable work to stay in the middle of the pack (i.e. not interested in partnership, just trying not to get canned).

What’s better? Being an M&A partner at a firm with PPP of $4-6M or PPP of $1-2M? Just thinking $1-2M is already plenty of money so if there’s some recovery of work/life balance as compared to the $4-6M PPP firms, which I assume would be the case, then I’d be drawn more to partnership at the $1-2M PPP firms. Any thoughts? Prefer my marriage over prestige

Lateraled and was told orally that hours would be annualized to include bar leave (lateraled to a new state). Multiple partners orally said “you get credit” for the time you were away. Found out two weeks before EOY that the bar leave weeks (4) didn’t count. Couldn’t make it up in time, about 120 hrs shy of a bonus, got no bonus this year. Worth fighting it?

I know junior associates feel the pain of being micromanaged and told exactly what to do all the time, but honestly, enjoy it while it lasts. It’s a whole new kind of pain when the partner ignores all your emails, never forwards you or copies you to keep you in the loop, never tells you what to do, and still gets mad at you when you are “behind”, or “get it wrong” or ask client/other side for something that partner got 3 weeks ago but never forwarded to you. 😂😭

Did not get an offer from Morgan Lewis last week. I went to a seminar today where the partner I interviews was speaking (he is the main partner of the group and he has like a 5 person team). I just wanted to show up to the seminar to be like yo I’m here dude. He said that he ultimately doesn’t make the decisions. I told him I accepted an offer elsewhere (which I did). Not sure how I feel about the situation haha
