What’s the prospect at the current firm like?

Every AmLaw 100 firm that has a dual partnership structure (and almost all do now) will have the same deal for you. Associates first go into non-equity, which is a huge hurdle/accomplishment for those who make it. You generally need skill, timing, luck, and the potential to become an equity partner. You only move into equity if you later generate your own business (exceptions can apply to specialty service partners in high demand). Some firms will allow you to remain a non-equity partner forever, while others employ an up or out culture. If you have substantial doubts about whether you will be able to make partner at your current firm, I would seriously consider taking the opportunity given to you.
The ugly truth is that they don’t know what’s going to happen to you in three years. Partnership decisions are made annually, and are hard enough to predict for that year’s candidates.
What's the need from the new firm? Do they have a partner looking at retirement that can hand off a bunch of clients?
The role is largely to help service an existing book of a heavy hitting partner(s). Unclear how many years left on the bus that partner has.
