Can you tell us any more info? Like how big is the company, what the in-house role is, any in-house experience you have, size of their legal team etc?
I recently finished a six month stint at a listed asset management firm. The main skill that the lawyers there had was an ability to explain complex legal issues to people with no legal knowledge. It sounds basic, but it was a real shock for me to go from dealing with sophisticated company directors to people who, as an example, didn’t see the issue with excluding liability for the supplier losing data they were processing! Another member of the business didn’t see the problem with a clause that said that the person who signed on behalf of the firm personally guaranteed the obligations!
Other than that flexibility and a more generalised skill set is always useful. One lawyer there was bounced around from Corporate to Litigation to Commercial to Funds when business need necessitated it. This may be an extreme case, but an ability to be more generalised is a key asset.
Beyond that the next key thing is to know and understand the business, it’s like doing your DD before a pitch. What is their strategy? What are the issues they’re facing? What recent public moves have they made and what issues may this have caused that they may be dealing with now?
One final point is to be able to articulate why you want to change to an in-house role. My old head of team said to me when we were working late one evening that a lot of private practice lawyers don’t realise how much day to day rubbish the in-house team has to deal with as their only experience with in-house counsel is when they get ordered around. There’s definitely a perception in private practice that it’s all plain sailing and outsourcing tricky work to private firms, but it definitely can be just as intense (albeit with more restricted hours). If you articulate it as “I want to be part of this team and help grow the company” it’ll be much better received than “I want to work fewer hours” or “I want a more relaxed role” etc
