Insane question but going to ask: where do I even start with commercial DD? The experienced Corp Dev team all left the company so no I have to figure out how to acquire this company. We are at best a C+ team. Any tips for how to not F this up?

At a high level, a CDD should hit on all of the below:

Overview of the business
Overview of their core offering and what’s its strengths / weaknesses are
Market (size, growth, drivers)
Customer analysis (concentration, stickiness)
Competitive analysis
Business plan assessment

Atheneum is useless nowadays. There used to be a time when they were good in EU but now their service has become shit. Trust me don’t waste your time.

Do you have any budget to hire someone to do this? I can’t imagine making a decision to acquire a company based on a CDD analysis by someone who is doing it for the first time

Are you at a strategic? You probably don't even need a CDD.

They are usually used in convincing investment committee's at a PE fund and to send out to lenders as a third party look.(which is really a check the box ok in both instances)

However, If it's Aerospace, defense or government services then you 100% do need one and should message me right away!

You have some good advice here - experienced outside help would be easier. You may want to align your CDD to the initial direction of the investment case. You buying for share, IP, talent, etc -- you may be able to shortcut efforts. TAM is first step & then start with the assumption that everything in the pitchbook has an upside spin.

Best interview prep for a deals team that focuses on technology due diligence, integrations, separations? I'm in IT mgmt consulting and trying to make the switch to deals / M&A so don't have real world experience to draw from. What do I need to learn / know? Recommended resources?

Currently part of knowledge team working on M&A related projects within MBB (coming from Big Four consulting). Feel like the job description didn't actually match the role, doing mostly research-related tasks and have 0 client interation. Just received an offer for Accenture strat (M&A) group, with sizeable TC increase. Is the change worth it: client interaction + travel + involved fully in project?or is the "downgrade" to accenture too large to outway the benefits. Headhunters love MBB.
