Would you advise your clients to accept whatever? If you see something you take issue with, you should make reasonable changes and be ready to discuss.

Not sure I’ve ever had a contract beyond “here’s your salary and benefits package and these will be your duties and here’s our code of conduct.” I wouldn’t normally expect it to be very negotiable until you get close to C-suite?

I’d double check. In certain states non-competes are more or less prohibited outright.

Additionally, you need to check the ethical rules for lawyers in your jurisdiction (both where you are employed and where you were barred if you’re not barred in the state you work and are a registered in-house counsel).

What would you do?

Your teammate with the same title and pay as you is at your desk all the time for help. I'm definitely open to helping - but sometimes "help" is basically the whole job - it feels like I'm doing both jobs lol and it almost feels unfair that we both get paid the same or very close (Colorado, so pay transparency). The teammate has been with the company for longer than me.

I’m interviewing and considering leaving the law and nice in-house job (work 20-30hrs/week, clocking out at 5pm, no evening or weekend work, comp $215k, doing mainly commercial, though not much mobility) for a business-side role within the cap markets team at a fund doing structured finance. My background is in tech transactional. I joined a cybersecurity SaaS startup at the end of last year and now also handle more generalist matters in addition to all things commercial-related. I have a number of books on contracts that I’ve found super helpful over the years (The Tech Contracts Handbook, A Manual of Style for Contract Drafting, Sign Here, etc.). Contract flow downs question. We are selling equipment to Company X so that they can sell to Company Y. Company Y is trying to push some owner flow down provisions to us. Our initial contract with Company X doesn’t include those flow downs. Would you push back? Is that standard/necessary for flow downs to go that far? Any insight is helpful.

Third-year in BL and just had a second round of interviews for an in-house position. It was surprisingly similar to a law firm callback with no real curveballs. They mentioned that as in-house counsel, you have to answer questions that you don’t always know the answer to. Frickin, how does that work without you committing malpractice, especially if you’re still a “baby attorney”? By just using lots of qualifiers in your answer? What happens if you get it wrong (hopefully not instant termination)
