An offer is not an offer, just like a promotion is not a promotion, until you got the papers. Go for what's real. Now.
Also, why ASAP because of equity? Are they going public within two weeks? Or is this like an infomercial FOMO kind of "Act Now!"?
Too many unknowns. Follow your gut and not what a bunch of us on here with zero knowledge of or stake in your life say.
I did the same after only 7 months at another big name agency. Was worth it. And it was even easier to jump back to adland when said startup failed a few years later

A promotion is never guaranteed, but neither is a startup going public. Any % of $0 is still $0.
