Litigation associate here working on an M&A deal (against my will): there are a few months between signing and closing on this deal. I have no experience in this practice area, but is this normal? What usually happens between signing and closing if there is a long time in between? I’m trying to figure out if this will slow down and I will get a break, or it’s crazy the entire time.

It’s a client of a partner in my group and I was essentially put on it even though I said I was at capacity. M&A group needed bodies. Would never have happened if not for this one partner.

That’s common especially if there’s regulatory approvals (like HSR) required or if there are other items to take care of.

If you’re not antitrust or one of the other regulatory practices, feel free to find something else to do in the meantime

Buy side or sell side? A few months is normal.

Thanks - delay is definitely due to regulatory stuff here, so things should hopefully slow down for me at least 😭

Comment where you are cutting back to save money. Here are ours:
- Not doing a presidential suite, instead we’re getting a normal suite and using a conference room for hair/makeup/meals
- Centerpieces. We are doing a few bigger centerpieces, then small bud vases at the rest of the tables.
- Transportation for guests. Our wedding is in a major city and ubers are easily accessible.
- Flowers. No flowers for men, only the groom is getting a boutonnière. No flowers for parents/grandparents.

the main partner I work for hasn’t been giving me consistent enough work (or type I want) so while I work for him still on some deals, I’ve had to go and get other work from other partners. He doesn’t regularly check in on what I’m working on. He keeps volunteering me for projects without checking if I have capacity and if he expected to know everything I’m working on… he would’ve thought I was just doing nothing the last 2 months. I don’t know how to address this workload balancing with him!

There’s always a Delaware entity in every financing deal so there’s always a need for a Delaware opinion. Why don’t more big firms open tiny offices there and just keep that stuff in-house rather than refer it one the shops there? No offense to RLF, Dorsey, Morris Nichols, etc.
