M&A first year - my lead partner told me to ask more substantive questions. But I’ve really only done administrative tasks so far, and I think he’s too distant from the deal process to see that. Basically, I don’t know what I don’t know. Any thoughts on what some good questions might be?

Read PLC for starters and learn the process that way. It will give you context around the bigger picture. Then, you can ask questions. To ask questions, you need to be thinking “why am I doing this?” - if you’re curious, the questions will come

We have it in the US but not all firms subscribe. As you note, it’s bigger in the UK

To me that means read the deal documents and ask questions. “What’s a net working capital adjustment?” “How does this indemnity work in practice?” Show that you’re taking some interest in the deal aside from your administrative tasks.

It is also good to get a sense of the business side. Not an M&A lawyer so I do not have sources but for private funds it would be investopedia and the CAIA fundamentals course.

I also find just talking to people who work in finance or even founders (the few I know) has been very helpful

Offer to put together the closing checklist. Forces you to go through the primary documents and figure out the different components of the deal.
