M&A folks and Real Estate folks:
On what percentage of your deals do you see an anti-sandbagging provision, and of the deals that have them, on what percentage is the buyer imputed with constructive knowledge of diligence materials. Please specify practice area as I’m curious about how each practice area differs on this point.

D said we will all move to Central Business Service (CBS)

We will no longer be under Executive Service Center (ESC)

Does KPMG, EY and PWC have a central support system?

Please, share your thoughts as am thinking that moving to CBS we will lose some perks.

An observation: It’s very funny how junior (especially first year) associates working in transactional law can spend an entire deal screwing up signature pages, checklists, and redlines.... and then complain that it’s BS they’re “doing administrative tasks instead of legal work.”

The amount of people, even attorneys, who can't separate out the policy merits of abortion from the issue of whether it is a constitutional right is disappointing. I consider myself pro-choice ---I believe states should allow it, that the federal government can pass a statute to guarantee it, and that FDA statutes and regulations will preempt any state trying to ban chemical abortions through FDA approved drugs. Dobbs at its core is a case about the Due Process Clause, not the policy of abortion

Anything you wish your mentor did/didn’t do? Hired an attorney for a non-litigation personal matter. Started working with the attorney, but after I sent back answers to a questionnaire and asked for next step, no one from the team (the attorney, an associate and an assistant) responded to my emails (including follow-up) for over a week. What can I do? The attorney is at a local law firm and charges $450+/hour.
