My GC and I are both new to being in-house and the first legal department of our company (so big learning curve on both sides) but I was wondering if anyone has encountered a problem we are having or if it’s unusual to us. The owner won’t give us access to the full database of contracts for us to do a legal audit of them. We can review them when we do an acquisition, if there is ever a dispute or if anyone asks us something about them. I could slowly piecemeal the full database……

Sounds like a paranoid founder.

That’s weird. So, when I was general counsel to a large state agency, the new director came in and immediately shut off our inspector general. Her position was that you’re either with me or against me and perceived that audit process as a threat. This may be your owners concern. See if there is a tactful way to approach this and explain the process. Lifting up the hood on a company can be tough and can also be a quick way to create a rift between leadership and legal.

Not normal, you should have access to the contracts in your scope.

When I was at a large multinational company there was some intentional segregation in the contract management system across countries/ entities for tax and litigation/ discovery purposes. But, even in that case we could reach out to the legal team per country to get copies of certain agreements when needed.

like

If I was strategic in my asking but it seems crazy that we aren’t allowed full access up front.

Anyone else ever have to deal with something like this? And how did you resolve?

That's insane.

Hopefully it’s just paranoia and can be explained. If not then you need to seriously consider leaving. No telling what is out there they’re trying to hide from you.

That’s the even crazier thing. These contracts are technically public. It would take time and effort to compile them but anyone off the street could find them. It’s a weird, regulated industry we are in.

This needs to be addressed by the GC. Legal should be "under the hood" and it's a trust issue. Have GC get to the crux of the objection.

He’s been trying but keeps hitting the same brick wall. Hence, why I am here to see if anyone has any suggestions.

Which companies pay the most for in-house legal / would find prior in-house VC experience useful? I run legal at a VC fund but am barely breaking $200K. I am ex V10 M&A and came from a traditional in-house gig (5 yrs total exp).

I think I may need to transition (eventually) out of my current role because my work/skills are getting very narrow. I don’t want to get pigeonholed. Ideal job for me would be corporate development related legal or product related work.

A few days ago the general counsel reached out on LinkedIn and said she did not see my application in the mix but was hoping to and asked if I wanted to meet. I said I did apply, indicated I was interested in meeting, and asked if I could send my materials. She said yes and she would send me some times. I sent my materials and haven’t heard a thing. I’m currently at a medium sized tech startup. I was interviewing for a role that would be a bump in pay and title at a multinational public F50 company. At first, the hiring manager and head of legal were very complementary about my experience. Almost too much so. After a week of interviews with the team (softball-esq), I was informed that if I wanted to join, they would bring me on at a lower title. I’m not sure about comp yet. But if comp is still an increase + experience at a public..
