Non-solicitation question - if you leave firm A for firm B with a non-solicitation agreement in place from A, but B already has a client that is also a client of A, are you violating your agreement to sell a service to B? 2 scenarios - 1, selling any service to client that was previously a client of A (but was a client of B before you started employment) , 2, selling a new service to client that you previously did at A that client did not use of B.

Sounds like a question for your attorney mate - not snot nosed ppt monkeys

Hey, I resemble that remark.... But seriously, yes, lawyer is on my list to confirm.

In 1 yes. In 2 I’m not sure I got your point but I believe yes.

Just to elaborate on 1 and 2 since I was limited in typing for the main entry: In 1, the client was both a client of the former and new company. If I was engaged in a discussion with the client for a service that I was never involved with at my former company, is that violating a non-solicitation In 2, the client is also a client of both and at the new company I talk to the client about a service that they may or may not have bought before from my new firm but is something I've sold before. In the case of 2,my gut says that while I'm not soliciting a new client, since it's a service line I sold to that client before it's probably a dark Grey to red area. In 1, it's probably more light Grey to green.

Most non-solicitations use the client as the barrier regardless of whether your newco has a relationship or not. Basically, you're not supposed to work with or communicate with that client at all for a designated time period if you worked with them at oldco.

At least at our company, the non compete is based on firms not individuals and focuses k serving and selling to clients. Service / service line doesn’t matter. If you served a co at firm a you can’t serve or sell to them at firm b for a specified period. So in your scenario (assuming you served this co) the answer would be yes prohibited in both your cases.

Hi. I have a question. In a world where COVID is under control, how would you feel if your companies went back to being fully in the office? But maybe others were adopting a hybrid model- some days remote, some days in the office. Would it make you want to work elsewhere? How important is being able to work remote (at a location of your choice, not at client /travelling) a few days a week to your job satisfaction?
