Public reporting attorneys. How do you approach timing of SEC reportings? As a process point, do you set several internal deadlines (both for legal and other functions) to make sure things are on track? Thanks much!

Thanks! What would that schedule look like if you don’t mind sharing…

Our financial reporting team quarterbacks the process but yes that's how they do it

Lot of benchmarking peer practices (risk factors, business section disclosure), coordinating review/language updating with internal teams, form checking, digesting outside counsel comments. Our financial reporting team holds the pen on mdna and financials

I had a big post-bar trip planned traveling and originally planned to comeback Sept. 15th. My lawfirm told me that the start date was Sept. 19th in may to plan trips. We just got an email last week there was a mistake and the firm said they made a mistake and the start date is now the 12th. I asked for flexibility and I got a response that there is none. I will be out a few hundred dollars almost 1K and a big dent in the trip now. Should I keep pushing or should I just count my losses and fold.

Additional Posts in In-House Counsel

Outside counsel has been prepping company witnesses for a trial in August. It is my subject area so I am supervising outside counsel. I did not, however, choose the counsel. He is doing a really awful job. Co counsel is better, but not great either. Higher ups love the firm… I do not want to micromanage, but I have genuine concerns about outside counsel’s ability to try this case. Trials are rare, and I just don’t think these guys have actually tried many cases. Cont. below…

I’ve been in an in-house role since the beginning of the year and just gave 2 weeks’ notice to leave for a much better paying and better titled position. The response has been very petty, to the point that I’ve been called unprofessional even after I asked the hiring attorney whether I could give longer notice at the current company’s request. Is this normal?

I’m currently at a medium sized tech startup. I was interviewing for a role that would be a bump in pay and title at a multinational public F50 company. At first, the hiring manager and head of legal were very complementary about my experience. Almost too much so. After a week of interviews with the team (softball-esq), I was informed that if I wanted to join, they would bring me on at a lower title. I’m not sure about comp yet. But if comp is still an increase + experience at a public..

Does anyone have recommendations for classes or trainings that helped you gain greater expertise in reviewing and negotiating commercial contracts, particularly sophisticated SaaS agreements? I came in-house with a biglaw litigation background and because of this feel lacking in competency compared to friends who came in house with transactional experience. Ditto to corporate governance. Would love some recommendations so that I can brush up in these areas and feel less like an imposter.

If I decline the offer and stay with my firm, I can make another $50,000 payment at the end of the year. I ultimately want to be in house, preferably in tech.
