A1 — completely agree. Even worse is the number of emails I receive from corporate teams where they just send me a snip of a tax provision from a random document and ask if it’s okay. It’s infuriating some times.

If the tax consequences are wrong the deal is cooked. And one fact stated somewhere in that 96-page draft may be the flag that there is a potentially negative tax impact. So we read everything.

To add to this, maybe OP should consider bringing in the tax specialists early on in the deal. I’ve done so much “fixing” of deals because the corp team failed to get us involved from the beginning.

Received an offer from EY 21 fixed + 3.5 variable+ 1 JB.. as variable % is little higher do we really get this amount in yearly payout if so how much amount we get from variable ?
I have another offer from CTS 23 fixed + 1.5 variable

When you test a GL account cause the balance is in-scope. Do you net the untested debits and credits together to determine if acceptably low? Or is it determined by untested debits being below PM and untested credits being below PM?
I have not gotten a consistent answer and seen it both ways in practice.

V5 Legal Assistant here (2 years in industry, started at current firm in late April). I’m on pace for 2700 billable hours / year. To boot, that rate is going up because of all of the 65+ hour weeks lately, and the first month being billed around 40.

I was just told that I may not qualify for any bonuses because I haven’t been here for 1 year.

Is this normal? Am I crazy for thinking that I should be getting a *significant* bonus for all of the crazy hours and deadlines?

Had someone lateral into our firm as a fifth year (soon to be sixth). They were kind of a retool and went from small law to the firm I’m at. They are still learning a lot of basic stuff, and I think it’s weird that the firm hired someone at that level as a retool. There’s always a Delaware entity in every financing deal so there’s always a need for a Delaware opinion. Why don’t more big firms open tiny offices there and just keep that stuff in-house rather than refer it one the shops there? No offense to RLF, Dorsey, Morris Nichols, etc.
