Transactional documents? You could ask a senior associate or partner for a sample of that type of document (one they have vetted). Review the document and table of contents or headings to make sure you’ve captured those concepts in your document. You could then create a mini checklist for yourself. I still review documents I receive against templates I have created (or saved) to confirm I haven’t missed anything.
Yes transactional but securities law. I use forms but as you know there are those unique additions that often times need to be made. It’s like I’m not connecting the dots sometimes. I think maybe a matter of getting more experience under my belt.
Totally normal…don’t be so hard on yourself. I’ve been doing this my whole career and still find new things I want to include/think about on the next transaction. The point is that you learn by doing, and the job is a dynamic one. What constitutes a perfect document is entirely subjective. All you can do is learn from each transaction and try not to miss the same things over and over again. I’ve found that keeping notes of new things I’ve learned really helps. Then I can run through my list and see if I need to employ any of those concepts into my new deal.
Good luck to you!! You will get there!
I find myself correcting work of outside attorneys who are 20 years my senior. The practice of law is a fluid monster.
First year here but also transactional securities law and I feel your frustration. Precedents and form documents never end up helping me but I don’t know how or when I’m supposed develop the instincts for this.
Thanks for the kind and motivating words!
Absolutely normal!
