Seniors and mid levels: on the M&A sell side, when you’re initially negotiating the definitive agreement and the data room is just being populated (nowhere near putting together schedules), what tasks do you usually assign to a junior to keep things moving (~year 1-3)? Thanks!

Ensure that the closing checklist is kept up to date, get them started on the sell-side closing documents, etc.?

Probably start building a diligence table with the usual things that matter (ie change of control/MFN/early termination) and have them continually update so that the schedules can be populated when it comes time for that.

Closing checklist and any seller ancillaries. Maybe they can prepare a disclosure schedule template for your client? Other standard stuff, like tasking them with note taking during client calls, etc.

like

Template/skeleton of disclosure schedules; prepare a matrix of all seller contracts and have columns for amount of consideration, assignment restrictions, notice addresses; follow DD checklist and see what has been uploaded and that it’s easily identifiable.

Any one works in a one man / one woman tax department? How do you effectively manage the relationships with outside tax providers, and with accounting/finance department inside of the company? I have multiple weekly calls with different teams from our CPA firm, with accounting/finance team inside, I tend to address issues as they arise. I was told I have been managing well, but I want to make sure I'm not missing anything.

Junior associate in a big firm, slowly transitioning to a mid level role. In these slow times, wondering about client development. I know no one is expecting to bring in clients during this pandemic, but any general advice for how young associates can get an impressive and effective head start on business development that could actually lead to new clients? What do firms and clients actually care about (networking in and out of your firm, certifications, speaking engagements, etc)?

I don’t know if I’ll ever get the courage to go back to a high pressure high paying job again but I do want to. I was so stressed out and miserable before. So I kind of took a break by taking it slow and got a different job. The plan was to recharge and go back. After a few mos, I’m missing the projects and sense of accomplishment, also the environment and people. I have the opportunity to go back to that sort of work again, but I don’t know

I’m looking to transition from my current sales role (purely operational) to a more creative/strategic role that involves public speaking/facilitation. Have some experience in sales development (mainly business development & strategic advice to C-level), branding/marketing, facilitation (as a side-job) and working with content creators.

I’m new to this space so not sure about what kind of roles there are?

With that said, I invested in gamestop buy sold at $35 and $60. Just a few thousand of gains (which is good enough) but better than losing all my gains and original investments. Good luck!

What are the most useful online courses in the DevOps space that I could take? They don't necessarily need to be free, but if Pluralsight/Coursera/etc. has a better group of offerings than another, I could budget 1 subscription. Ideally they'd be platform-agnostic, and/or cover multiple toolsets, as I am consultant and my assignments will be largely dependent on what the customer has.

After 6 years of temporary contracts and unstable situations, I find my dream job in my dream company. All of a sudden the world goes upside down and I get laid off. I start sending hundreds of applications, with only 2 recruiters getting back to me to say I don’t have experience for the job (this is how it works in Italy). Add a terrible health situation in my family and it seems there’s no light at the end of the tunnel. Ugh. 😞

What is a normal pay cut to go in house? For reference, I am a 5th year corporate associate making approx 250k base salary. I was just offered 180k base salary. Is it unreasonable to expect to be around my current rate which is “market” for my city? I don’t care about bonus or equity but know that companies place more value on those - my lifestyle/current expenses (this is short term - working on a big Reno) a higher salary so I’m trying to decide if it’s feasible right now or if I should wait.
