What do m&a lawyers do? I’m in antitrust and it just seems like y’all send emails and rush everyone’s diligence along? So what does your actual work look like?

A lot of it is herding sheep but there is that giant purchase agreement of which the specialists only mark up part of it…(and piles of ancillary docs, checklists, and so forth).

like

In my heart as an M&A adjacent debt lawyer i really do believe its just emails and herding with the occasional stock rollover... thingy.

Can only speak to what I’ve seen so far as a first-year: the juniors handle the corporate-related diligence (third-party contracts, acquisition docs, corporate governance) and drafting of the ancillaries. Midlevels and partners work on the purchase agreements, do the negotiating on all the terms, review the insurance policies etc. A not-unsubstantial part is definitely working with all the specialists, but that’s on top of our own corporate-related analysis

like

Lol. Diligence is just a small piece of the pie in a full deal.

Can you tell me about anti trust? I've never worked in anti trust but a firm wants to interview for a paralegal position doing anti trust, knowing I've never done it. I just want to have some knowledge and some knowledge about what they'd expect from me before my interview next week. PM if you'd like!

Thank you!

Spent two days revising something. It took forever because I had to rework the entire draft. I feel like perhaps it wouldn’t have taken someone else as long? I’m scared of billing how long it actually took because the mid/partner will think I’m stupid or overbilling but I’m not!!

2nd yr. Received great feedback in my annual review. Only negative was my hrs. Was told there’s plenty of work to go around, but when I ask partners for more work, it’s never enough to keep me busy.

I find my job really boring and don’t actually care if my clients get the result they want. I just do good enough work because I’m afraid of being seen as dumb. Is there any way you’ve been able to make work more enjoyable/interesting or should I just go back to school in a diff field? I’ve already tried both litigation and corporate.

Started at my first BL firm and seems too good to be true. People are super nice (including one partner who has gone out of their way to help me on questions I have and may end up being a great mentor that I’ve long sought), work is more organized and planned out far in advance avoiding unnecessary fire drills (transactional), training is fantastic and I’ll probably bill the same or fewer hours as I used to and get paid twice as much. The grass is indeed greener!

like

What are some best practices for making sure you bill at least 8 hours a day?

like

Which firms generally bill in .25 increments? For those at these firms, do you find that this helps you get a few extra hours each week (compared to billing in .1 increments) or do you feel more pressure to not record your time when, for example, the only thing you did on a matter one day was read an email that took 2 minutes?

I’m wondering if billing in .25s might partly explain why the average billables at some firms seem so high.

I resigned. Really happy. Knew this wasn't for me but stuck around for the nice mentors. Started getting really anxious about the job and had to stop. There are other jobs out there that I know I can actually enjoy. Excited for my new chapter. Thank you everyone.

So I’m a first-year associate at a big law firm practicing insurance defense. The work is beyond demanding, and I have over 100 cases to manage. The partner doesn’t train me or help in anyway and I’m working ungodly hours. This has led to a decrease in productivity and efficiency in many work and a conversation with my partner who is taking work away from me now. I don’t feel like I’m in a good fit and really don’t know what to do career wise. Has anyone else gone through anything similar?

I know that some other associates at my level are approximately 30% behind other associates in hours on a month to month basis. Yet all of these associates say they are “at capacity”, and myself and another associate still end up being assigned work instead of them. How do we handle this? For reference, all associates are around the firms minimum requirement, it’s just that a few of us are 30+% over and it is leading to burnout.
