The “EC” in “ECVC”: Basically working with venture backed companies of all stages, whether very early stage (think a guy just starting his company - although biglaw firms will usually only take these promising clients in this category) all the way to later stage companies on the verge of going public (think SpaceX or Stripe, or basically any modern company you can think of prior to going public - Facebook, Uber, Google, Tesla, Allbirds, etc etc.).

You’re counseling these clients on all things legal - whether it be day to day corporate legal questions, sitting in on board meetings, and also run all deals for them (mostly venture financings, but sometimes a M&A deal or an IPO if the company has reached that point in its lifecycle). It’s maybe the best practice area for going in-house as a corporate lawyer at a really exciting high growth company (plus you have HUGE financial upside with stock options) - if a client is looking to bring in their first GC or in house person, they’ll often turn to you first.

The “VC” in “ECVC”: You’ll also represent some VCs (venture capital investors - some which focus on early seed stage level investments, and some which will focus more on later “growth equity” type deals) on venture financing transactions. This is kind of more traditional deal work - due diligence, commenting on deal docs, etc.

Thanks most of these don’t have VC backing. The I-banks they are using for IPOs are HC Wainwright, EF Hutton, ThinkEquity etc.

Current recruiter and ex-biglaw here: it’s work with anything adjacent to Emerging Companies and also work related to Venture Capital.

I view ECVC as being a large umbrella practice with lots of prongs under it for which you can specialize.

For example, if you’re an ECVC attorney, you may be also a hybrid CapM attorney. So you’d work on all of the filings where you check the “EC” box in an SEC form, with a more niche expertise than other CapM attorneys. You’d be the ECVC CapM person at your firm.

Or, maybe you’re a debt attorney in the ECVC space, which can sometimes have different capital raises vs non-ECVC.

One thing is for sure, you’ll have newer companies, more tech type companies, and less mature companies. This can lead to different in-house offerings.

I’ve spent my career on the internal/exec comms side of the house and am looking for a director role. Tax loss harvesting question. Simple example. Excuse me for this irrelevant ask - a friend is charged with a third degree trespassing and she’s eager to find a good lawyer. As her only lawyer friend (granted, a corp lawyer in BL), it sucks I can’t offer her more help but to ask around for some contacts… the court is in Upstate NY, but she wants a lawyer in NYC or its vicinity. She is less concerned about the cost but more about not leaving a permanent record.

Hi all, I’m a senior real estate associate. I just went through the lateral process and secured a special counsel (aka of course) position in big law from a mid sized law firm. Signing bonus of $50k. I saw an email from a recruiter recently saying there are firms paying up to $150k in signing bonuses in real estate. I’m guessing that’s true in the corporate and maybe litigation lateral market, but doesn’t seem right for real estate transactional. Curious if anyone can back that $150k number up.
