What is the expected dynamic between non-GC level in-house counsel and c-level officers of the company? For example, I’m working on disclosure schedules and sometimes I just need to be short and stern with my emails to officers requesting info and docs…and also need to create boundaries when they try to dictate what to do and when to do it when it comes to the disclosure schedules - I feel like only my GC should be able to do that?

It depends a bit on how large your company is. It is important to remember that c-Suite is your superior. I err on the side of formality and humility for 2 reasons 1) I think business leaders are more likely to want to work with me, and 2) attorneys are already viewed as arrogant - no need to reinforce that view.

Your GC should help you set boundaries for how firm you can be with other executives. At the end of the day, you want them to like you and see you as a valuable member of the business team (not just the legal team) l; act accordingly.

I treat c-level with the same deference and respect I treat my GC. Heck, I treat all executives and middle managers in my company that way. As a lawyer, you have to work for hearts and minds every day. Don’t want to reinforce the stereotype that we think we are better than everyone else and somehow outside the normal corporate organization.

You get the info from them. Craft it into schedules. Have them review _for accuracy_. Query what is missing. Always be grateful and profusely thankful for their help--they have a lot more to worry about than some DS.

My background is in tech transactional. I joined a cybersecurity SaaS startup at the end of last year and now also handle more generalist matters in addition to all things commercial-related. I have a number of books on contracts that I’ve found super helpful over the years (The Tech Contracts Handbook, A Manual of Style for Contract Drafting, Sign Here, etc.). I’m currently at a medium sized tech startup. I was interviewing for a role that would be a bump in pay and title at a multinational public F50 company. I’ve been in an in-house role since the beginning of the year and just gave 2 weeks’ notice to leave for a much better paying and better titled position. The response has been very petty, to the point that I’ve been called unprofessional even after I asked the hiring attorney whether I could give longer notice at the current company’s request. Is this normal?
