Exec. comp.


Exec comp is almost all tax on the technical side and revolves around those three code sections and 422-424. In the cross-border context, it's helpful to know about the withholding rules as well.


My practice is primarily funds and M&A (like 70%). The other 30% varies widely but includes a significant amount of HNW estate planning and Exec. Comp. (Deferred comp plans on company side and personal advising of executives). They all revolve around tax, so general technical tax skills and knowledge makes it a fairly easy pivot.

I think another option is regulatory practices because the ability to parse and analyze regulation carries over.

Transitioning from com. lit into tax controversy?

I have a tax LLM and started my career out of law school doing M&A tax at a big4. After 9 months, I got out of big4 transactional hell and into whatever litigation I could find. I now practice commercial lit but would welcome the opportunity to eventually transition into tax controversy (which I wasn’t able to do before). Does my commercial litigation “break” hurt my prospect? How long can I stay in com lit without hurting my chances even more?
