What tools are legal professionals here using in the context of corporate governance/secretary area document management? Storing resolutions by written consent, BoD meeting resolutions, tracking stockholder actions, corporate filings etc.

Current solution used by some of our community members is a manual folder structure in Sharepoint.

Carta / Diligent came to mind for me. What else is out there?

I know some companies are using OpenText for this. I understand that HighQ by Thomson Reuters has this functionality as well.

We use Corporation Service Company primarily to handle all of our registered agents and corporate filings and documents. They also have a entity management and compliance module to assist with corporate governance. It’s not super pretty but it gets the job done at a very low rate compared to competitors. We’ve been happy with them.

I would absolutely not trust Carta for anything other than cap mgmt. Their CEO has gone on record multiple times saying that their goal is to data aggregate (eg scrape). No thanks. Don't want to pay fir the privilege.

Maintaining board files is not that hard and doesn't require software. If you're doing a SH consent, just export your cap table and do a quick if function to tally vites according to your charter. If mins, just make sure your file naming convention drops them into chronological order and get minutes approved and signed at subsequent meetings.

If you are organizing board decks, again folders are fine.

Corporate filings should be maintained in min books for each entity divided as follows: articles, bylaws, foreign quals, FEIN, annual reports, Minutes (bd and SH action and mins in chron order).

You really don't need software for this.

A simple annual report/compliance cal with teasers should solve the "when do we file what".

If you want a board portal Diligent and IHS Markit make good ones.

A chat with a good corporate paralegal can get you sorted for all of this.

I’m starting as a Junior at a new firm and, in addition to the home office set up they provide, they also give a $500 IT stipend. Does this typically cover desks? And do stipends typically get disbursed as a $500 check or they reimburse specific purchases? And if it’s the latter, would they cover purchases made before the start date?

I’ve already asked HR a lot of questions and I don’t want to keep pestering them to avoid a rep for being that annoying associate before I even start lol. Thx!

Can there be love if the partners physically abuse each other? I was shocked by a recent fight encounter of my friends. The girl and the guy were fighting and the girl first slapped him. Then the guy slapped her back. The guy was instantly guilty and started apologizing while the girl was crying. Eventually, they patched up and was cuddling in no time. My observation is that it is hard for consulting partners to land the quality public or private board roles everyone naturally targets. Despite there being a significant amount of exceptional talent that could be deployed, there is a big bias against consultants. Everyone wants “operators,” but I feel every board could also benefit from one current or former consulting partner. But sadly, that’s not the way the external world looks at things...

I recently got a new job at a startup. I have little to no experience in reviewing commercial contracts but the sales pitch was that they are going to bring my area of expertise inhouse and until then, I would learn and help with contract reviews. I just received an offer for a job I am very excited about. Base is within reasonable range and I will likely go back and ask for a bit more there. The company also offers a yearly cash bonus based on the performance of the company as well as a stock grant. Those are determined based on percentages of base salary. My question is: are those percentages typically negotiated or set based on position?

I’m interviewing and considering leaving the law and nice in-house job (work 20-30hrs/week, clocking out at 5pm, no evening or weekend work, comp $215k, doing mainly commercial, though not much mobility) for a business-side role within the cap markets team at a fund doing structured finance. Many unknowns, but comp will be at least $400 base, $200 bonus, soon managing a team and serious career progression, more hours/week (TBD how much), plus deal driven. Any thoughts on making this switch?

I just got an in house offer for 190 plus a 50k bonus pro rated. They say it’s non-negotiable and I am a third hear from Big Law. Thoughts? I am debating between this offer and a start up that would pay around 170 salary, equity, and a de minimum bonus (still waiting on offer details which should come tomorrow morning ish time). Would this be a bad time to switch positions for the purposes of career progression and higher compensation? My current position seems stable but no room for growth and also a disorganized mess, not a very mature legal department.
