When a law firm is looking for a 33/34 act attorney does it need an one working primarily with public companies? Or private companies as well? I’m a corporate and securities attorney, all my clients are private EGC and PE/ VC/ hedge funds, I usually ensure that they are exempted from 33/34 acts

I would assume most of these positions expect some public company experience. Reg D experience is going to be expected, especially in the context of PIPEs, but so is some familiarity with registered offerings and Rule 144A offerings. And likely experience with periodic reporting (10-Ks, 10-Qs, 8-Ks) and proxy statements as well.

4th year going into my 5th year and am leading discovery and case management on a case with a $5 million budget (yeah!) with a rocket docket. Layoffs yesterday 😭 We had a brutal round of layoffs before break too and we all thought we were safe for a while. I still have my job but the survivor’s guilt is real.

Kind of regret going into accounting/audit lol. Was anyone else told “accounting can do finance but finance can’t do accounting.” I was under the impression that transitioning to finance would be easy, but all the exit ops I see are senior accountant, internal audit, accounting advisory, etc.
