Working on a legal opinion as a junior associate. My role is drafting the opinion from precedents, doing diligence on enforceability of the underlying transaction docs, and communicating with the client regarding any diligence needs. A partner is reviewing/revising my draft and signing the opinion, in addition to second-level diligence. Nobody else is staffed on the matter

Is it too presumptuous to include my initials along with the partner's initials below the signature block on the draft?

Include it before the partner's initials to show you're partner material.

I already added my name to the letterhead, so I thought I'd go humble on the initials

funnylike

Yes

like

Yes for sure. You do the work, they sign. That’s good for you - you don’t want your name on something like that as a junior/mid if you don’t have to.

like

Yes the name of the firm gets signed on the opinion and the partner is the only one authorized to do so. I understand how opinions work and this isn't the first one I've worked on, just the first one I've substantively drafted. My question was simply about common practice for one discrete aspect of a draft letter.

Yes.

Also a law firm can face liability for a faulty opinion, so it needs to be signed with someone with authority to sign for the firm.

like

This is the correct answer.

like

Yeah you will quickly learn that attorneys hate giving opinions 🤣 be glad you are not on it

likefunny

I personally wouldn’t. I’ve been in similar positions and the partner has both added and not added my name to the opinion. Ultimately I think it depends on client optics.

like

At the end of the day is the partner's name on the line here. I wouldn't get too bent out of shape on this. When you get more senior and start stamping your name on junior work, it'll make more sense to you.

like

Our firm only allows initials to be included for barred associates, fyi, in case you're still waiting on that process as a 1st (rising 2nd) year.

like

No - assert your dominance.

funny

Update: partner added my initials to the letter himself. Now considering whether to remove them on the next turn based on the advice above. 😂

funny

This!
These initials are there for a liability purposes, not for fame. Does your firm put initials on the agreements as well? I bet they don’t.
If they want to expose you to liability, make sure to triple check all DD and if you have an authority opinion in there, don’t hesitate to request resolutions in addition to bylaws to confirm the authority of each signatory.

To clarify, the partner is the only one authorized to sign opinions. Other letters I've worked on in the past (in a less substantive capacity) have included the initials of attorneys (partners and associates) that drafted the opinion.

But looks like the overwhelming consensus is to just put his initials there for the draft. Thanks folks!

OP, In the nicest possible way if this is your concern and you need “credit” this may be the wrong profession.

Newly in-house. Apparently, it was bad to offer my opinion that slightly differed from the managers, even though I was invited by said manager to review their suggestion with an internal client. We collectively discussed how to make a document better. I responded to an email that said "hey you and internal client - could you both see my suggestions (which differed from the clients). Internal client didn't really agree, so I said "can we add managers edits but keep some of clients edits"
