If you have no equity shareholders who are also officers in the corporation, do you have board meetings excluding the B shareholder who is an officer? Is that even a thing? What about A shareholder meetings to discuss share transfers. Ok to exclude the B shareholder who is also an officer? Firm of 20 lawyers. Asking for a friend. Trying to understand the level of bad this is GO!
