This arrangement has several red flags:
Payment to relative’s account is the biggest concern. This means Company B wants them to work without being on their official payroll — no PF, no ESI, no TDS under the person’s PAN. This is essentially undocumented/off-the-books employment, which creates tax liability issues for both the person and the relative.
Two offer letters is unusual. A legitimate company issues one offer with a defined joining date. The “second offer after NP” structure suggests they want labor now but don’t want the legal obligations of an employer yet.
BGV + NDA before formal employment — sharing PAN, UAN, Aadhaar is fine for a genuine onboarding pipeline, but combining that with off-books payment is contradictory. Why collect compliance documents if you’re paying under the table?
What this person should do:
Ask Company B to either wait for the 60-day NP to finish and join properly, or negotiate an early release/buyout with Company A. If Company B truly values them, they’ll wait 60 days.
If Company B insists on this shadow-employment arrangement, walk away — it exposes the person to income tax scrutiny (unexplained credits in relative’s account), zero labor law protections, and potential issues with Company A if they discover moonlighting during the notice period.
