I started an investment business with a friend and our dissolution agreement was we will buy each other out of our individual investments if we can't go any further.
Unfortunately, we fell out and she will not honor the dissolution agreement. The company was opened in DE and I got a lawyer in DE to work on dissolution process.
Now that she is no longer following the dissolution contract I would like to take her to court here in FL where I reside is it possible or do I have to keep it in DE?

Did the agreement have a location in it? Most of ours have a jurisdiction in the event of any type of litigation. Otherwise, you are probably stuck in DE bc that’s where the business was and that’s where the agreement was made and that’s where she still resides (assuming those factors apply). It doesn’t hurt to consult a lawyer, but typically, just bc you live somewhere now doesn’t mean that you can move the jurisdiction of the case.
I’m not a lawyer, this is just based on my experience and legal advice I’ve been given during similar events.

There was no location in the agreement.
However the company bank was opened in FL which kind of makes it seem like we are operating from 2 locations.
I already have a DE lawyer and I am okay to continue service with them if that is the final decision.
I will talk to a lawyer in FL on Monday.

This tends to happen with friends who go into business. Sorry you’re experiencing this.

Tips on how to deal with my direct report, the CMO, that won't honor the bonus structure in my offer letter?
