Been in insurance defense for 9 years. Do I have any hope of getting out of this field and into an IHC role with comparable salary?

I’ve made it 5+ years in a NY M&A practice and have consistent exceeding expectations reviews. I’ve had a few mental breakdowns because of work during this time, but thankfully made it through. I’ve been in a near constant depressive/anxious state for family reasons for the last year and half, and am soon having my first kid. I’m scared shitless that I’ll spiral out of control both at work and at home if something doesn’t change soon. Any suggestions on how to keep this job and keep it together?

I thought M&A tax would satisfy me creatively. Definitely better than core tax work but I can’t keep doing this sht. I need to start my own business. Who’s with me?

For in-house counsel roles, does firm prestige matter? For example, would the fact that an applicant is from Sullivan & Cromwell vs, say, White & Case matter at all, or is it much more about experience/interview? Big law specialist with an offer to be the CFO and GC of a 250M AUM hedge fund. All in comp would probably be ~$300k, so about $100k less than where I would be in big law (including bonus). Potential to get involved in the business side, but most likely more of a back office role (I would also be the only legal hire - main goal would be cutting outside legal cost and streamlining processes). Does this sound like an attractive offer? What exit options would I have?

Any downsides to leaving a “Counsel” role and moving into a “Legal Affairs” role? Still practicing and representing the company, just a difference of titles, so core work remains the same - what do you think?

I’m in-house at a small company (60 people), started right out of law school about 5 years ago. We had a legal team of 5 then. Everyone has left and we just hired a new GC. I went from $70k to $100k a little over a year ago. I am expecting an offer from a firm doing business law work but think this might be an opportunity to go to my current employer and ask for a significant raise, with new offer in hand. When I moved in-house a year ago as a BigLaw mid-level, I took a 45% pay cut, far more than I was comfortable with (although I was fine with a 20-30% cut). I took the job because it was a great role and I was focused on making the jump in house and developing the skills I wanted, which required me moving away from my firm practice area. Now that my year-end review is coming up, how do I ask my company for a significant pay raise (not just a 2-5% inflation-matching raise)?

How does your company manage (track) all of the documents related to a merger you are working on? Are you using a matter management software, a spreadsheet, shared file, etc? Keeping up with the moving pieces is killing me with just a spreadsheet.

How long did it take you to find the right position the first time you went in-house? I am 5 months into it and regretting turning down the (lowball) offer I got a couple months ago.

Has anyone been given an offer or received further movement on their application after a month or more from your last interview? Not sure if it’s odd that the company reached out after my final round interview to have a call and “discuss next steps” but then they haven’t responded to me since I’ve followed up (I’ve poked 3 times every 11 days or so but I plan to leave it be now until they respond).

How far do you require depts be with negotiating commercial contract terms before your legal review? I’m talking routine low value and risk contracts (e.g., vendor services), where Legal terms won’t kill the deal. My clients blindly forward contracts. I say “are you sure this term is ok?” And often get “no.” They’re surprised because they never read them. Checking the temp to see what others experience, what might be normal. I feel contract training in my clients’ future...
