I started working for a new law firm, much larger than the firm I was working for previously. The main attorney that I work under had noticed some mistakes I was making (I am a NY paralegal who took this position with the understanding that they’d be teaching me NJ and NYC real estate). Anyways, the attorney decided to tell the HR manager about the mistakes I had been making. Rather than HR discussing with me, the manager told my dramatic coworker to tell me..how should I handle this? Very hurt!

I am an associate at a UMM and my employment contract has a 4 month non compete (yes, even for associates) but I am thinking of lateraling. What are the implications of breaking a non compete? I didn’t say anything when I signed because I was desperate for a PE offer but it seems so unfair as I am just a lowly associate. I'm launching a small PE firm and need advice on structuring equity for early founding team members.

I don't want to give up equity in the firm for several reasons but I do need to incentivize my team.

Should I offer phantom stock or form a subsidiary LLC and issue stock in that but always own the parent co? Or just offer carried interest for deals they each manage?
