Hi, does anyone have any good resources for reviewing deal/fund documents for tax comments? I’m more junior and am often thrown documents to review with little guidance. Does anyone know if any good CLEs or other resources that could be helpful in helping me to better understand the big picture when reviewing documents like this?

What group are you in? If you are not in tax, you need to reach out to your tax group. Tax law is extremely complicated, has its own verbiage and “code speak”, and has a ton of exceptions. Trying to do it on your own with no tax background is a recipe for getting thrown under the bus (unless it’s something super simple, like a 721 contribution).

I’m in Tax.

Transitioning from com. lit into tax controversy?

I have a tax LLM and started my career out of law school doing M&A tax at a big4. After 9 months, I got out of big4 transactional hell and into whatever litigation I could find. I now practice commercial lit but would welcome the opportunity to eventually transition into tax controversy (which I wasn’t able to do before). Does my commercial litigation “break” hurt my prospect? How long can I stay in com lit without hurting my chances even more?

Has anyone dealt with stuffing allocation in a non-hedge fund context? It seems even in the HF world the law is fuzzy in using aggregate reverse 704c principles in stuffing allocations. Like, sure, the market is there but no authority really blessed it (other than some Cravath partner’s article in Tax Notes in 2013).
