Probably DOJ investigating to exclude that nat sec material was implicated. Not uncommon for LE to press pause on a notice effort for these reasons.
Likely it is material in the sense that a reasonable shareholder would consider it relevant in making an investment decision. It can be material as having a significant impact on reputation and legal obligations, but not be material in the senses listed in the filing.

Materiality is a relatively high bar in the context of a reasonable actual or prospective shareholder considering it relevant in making an investment decision. Not to say it isn’t a little surprising. There aren’t always bright lines with these thresholds.
