It sounds like your director role is already a sweet gig. Depends on the amount of upside this is. Are you at risk in your current job? How far are you in your career path?
Perhaps large pharma is not the best option to move up the ladder quickly. You could get stuck at SD role as well at the new company.
Have you considered mid size pharma?
You should get majority of your RSUs, especially the unvested one in the form of a cash bonus. Make sure you only have to commit to staying at the company one year, versus two. Although I’ve never heard of a big pharma company going after bonus money if you leave before the commitment period.
If your start date is after October 1st, you most likely won’t be eligible for bonus in March 2026. So you should factor that into your signing bonus.
Giving up your pension should be factored into your higher pay.
They should buy out unvested RSUs according to the newco vesting schedule to keep you whole. Your sign on bonus should technically offset lost bonus
Ensure that you still get the 25% bonus. my opinion is that you should get at least a 20% increase in salary or at minimum negotiate for that and do not new company about your current salary is. So tell them that’s the number that you would feel most comfortable, leaving your current company for.
