Private equity acquisitions of boutique law?

Run a boutique law firm in California. I keep getting email and LinkedIn solicitations as a potential purchase target by p/e firms. Seems very sketchy.

Honestly, I don’t get the upside for lawyers in boutique firms and I don’t get their angle given their limited due diligence. What’s this really all about?

Ps I’m not buying what they are supposedly selling for a whole host of reasons including the sketchiness.

Money lol. They’re looking to make money and pretend as though there is separation between the firm and their services. ABS structures are a bit more rigid/structured, but an MSO often toes or crosses that line.

What they do in an MSO is charge you a “fee” for managing all of your back office functions. It’s their way of sharing profits without running afoul of rule 5.4.

What area of law are we talking about?

I keep being reminded of my contracts professor’s caution to my class that there’s no such thing as a free lunch.

Advice for Of Counsel roles? I am of counsel at a firm where I can set my own rate and keep a percentage of collections, which varies slightly depending on whether the client is one I generated or not. I’m finding that a lot of my work is for firm clients where the lawyer negotiated a flat fee (and the hours worked are less, due to efficiency etc). I work at a small, 3 lawyer firm. One of the lawyers is not barred in the state we practice. Because of this, the managing attorney has been having him draft motions and other legal documents and use my name and bar number and having me file them because I will have to appear in court for the matter. Is this normal? I am not provided time to review the materials before I file them so I end up working longer days because I am nervous to file something using my name and bar number.

Plaintiff side question - comp is base plus % of fees. Firm has non equity split % with associate working on case. This normal for a non equity partner? Normal associate comp is full % when working with an equity partner.
