What’s the practical different between Chief Legal Officer and General Counsel?

Maybe a dumb question for a lawyer, but is it normal to not be allowed to review an invention assignment agreement and post-employment restrictive covenant agreement at the offer letter stage? I’m told they can’t share prior to onboarding (I’ll be asked to sign them then) but I know I’m not going to sign some crazy non-compete so would like to see the drafts before accepting the offer.

I am currently in ID and wanting a miracle in-house position. I recently learned that the VP of Lit for an ins. carrier was promoted leaving her position open. I’m unsure if they’re planning to fill that vacant role. Outside counsel has been prepping company witnesses for a trial in August. It is my subject area so I am supervising outside counsel. I did not, however, choose the counsel. He is doing a really awful job. Co counsel is better, but not great either. Higher ups love the firm… I do not want to micromanage, but I have genuine concerns about outside counsel’s ability to try this case. Trials are rare, and I just don’t think these guys have actually tried many cases. Cont. below…

I’m in big law and on the cusp of making the jump to in-house. It sounds like the company I just interviewed with is getting ready to make me an offer. It’s definitely going to be a pay cut coming from big law but I do get some nice equity in the company. Is the jump worth it? I’m so burnt out by big law and this seems like an awesome opportunity to help shape a newish company. Any tips on how to figure out if this is the right move for me?

How long did your in-house job give you before you had to start? Was able to take 6 weeks in-between both big law jobs but I don’t think that’s the norm or acceptable for in-house. Thoughts?

Considering joining a small 50-person company as the only attorney (prior attorney is retiring). (I am currently in-house at a F50). For others who have done the same path, what surprises did you have when moving from a large company to a small one?

For example, it sounds like I should not expect a document management system, based on a prior post in this bowl. I’m guessing expenses like state bar fees and cell phone are not reimbursed.
