4th year biglaw funds associate here - considering an offer from a hedge fund (AUM in the $10-20bn range), $250k base plus $85k bonus, no carry. Remote role and outside counsel heavily utilized. Is this reasonable? My concern is that I will be locked in at a total comp that significantly lags behind Cravath scale in the long run.

For those working in house, how much “from scratch” document drafting are you doing vs. reviewing and revising “outside documents”. For example, if your company wants to enter into a joint venture company with another entity, are you drafting the company agreement “from scratch” or is it based on internal forms? Or are you getting outside counsel to do it?

I’m in discussions to become the GC of a mid size but international company that does ~$1 billion in annual revenue. Smallish legal department. They’ve asked for my comp expectations. Outside counsel has been prepping company witnesses for a trial in August. It is my subject area so I am supervising outside counsel. I did not, however, choose the counsel. He is doing a really awful job. Co counsel is better, but not great either. Higher ups love the firm… I do not want to micromanage, but I have genuine concerns about outside counsel’s ability to try this case. Considering joining a small 50-person company as the only attorney (prior attorney is retiring). (I am currently in-house at a F50). For others who have done the same path, what surprises did you have when moving from a large company to a small one?

For example, it sounds like I should not expect a document management system, based on a prior post in this bowl. I’m guessing expenses like state bar fees and cell phone are not reimbursed.

Any advice on things to expect (or not expect)?

NFW- I just had a good laugh. Earlier today I was on a video conference call reviewing a Private Label Agreement template with a larger company who wishes to brand label products we develop and manufacture. We came to a very one-sided provision and my sales VP stated “for this one, how can we just say ‘hell no’ ...nicely?” The other person on the call said we can replace the wording with just NFW (no f@$* way) and I said “I will have to add that to the defined terms section so it’s clear”

I’m in big law and on the cusp of making the jump to in-house. It sounds like the company I just interviewed with is getting ready to make me an offer. It’s definitely going to be a pay cut coming from big law but I do get some nice equity in the company. Is the jump worth it? I’m so burnt out by big law and this seems like an awesome opportunity to help shape a newish company. Any tips on how to figure out if this is the right move for me?
