+1 to Accenture 1s point. Operating agreement should cover in detail what happens when a founder leaves and what their role is after separation.
Really depends on the operating agreement of the company. Typically it should denote what % of equity allows for partial control/insight of the company. A lot of times these types of folks move to a board seat instead Given this is a startup... really anything goes. Just depends if the other co-founders like them or not 😉
He should have zero questions in day to day ops and mgmt. As you said he is shareholder now - watching from the sidelines. Unless his suggestions and support are really helping the business- then it’s your call
To improving the operations? Seems to me the cofounder gave up the right to participate in the business once this person becomes a shareholder? How much involvement does this person have over the business?
This person exited really abruptly but wanted to have a say in operations and review financials. Don’t really have time for this, but this individual is really persistent in wanting info, it’s getting to a point that is annoying everyone.
I would imagine his shares are vested over time. Plus there if there was a cliff he may forfeited his shares and say.
